Article IX, Section 9
Section 9. Succession. Any successor Director appointed
by and in accordance with the foregoing provisions shall, upon his acceptance
of such directorship in writing and filed with the Directors, become vested
with all rights, powers, and duties of a Director hereunder with like effect
as if originally named as a Director in this Plan.
